INTRODUCTION

Welcome to Luminate Gynecology ("we," "our," or "us"), a cash-pay telemedicine practice owned and operated by Dr. Roshni Patel, DO. These Terms of Service ("Terms") govern your access to and use of our Website, www.luminategynecology.com (the "Website").

By accessing this Website, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access this Website.

TELEMEDICINE SERVICES

2.1 Nature of Services. Luminate Gynecology provides gynecological consultations and care via telemedicine. Our Services include, but are not limited to, virtual consultations, follow-up appointments, prescription management, and general gynecological advice. We do not provide emergency medical services. If you are experiencing a medical emergency, please call 911 or go to your nearest emergency room. 

2.2 Provider-Patient Relationship. A provider-patient relationship is established only when you schedule and complete a telemedicine consultation with Dr. Patel, and Dr. Patel agrees to provide medical care to you. No provider-patient relationship is created by simply browsing our Website or submitting general inquiries through our contact forms. 

2.3 Limitations of Telemedicine. You understand and acknowledge that telemedicine has inherent limitations compared to in-person care. These limitations include, but are not limited to: 

The inability to perform physical examinations

  • Potential technical difficulties that may disrupt or delay care

  • Possible misdiagnosis due to the limitations of virtual assessment

2.4 Medical Decisions and Advice. All medical decisions and advice provided through our Services are made by Dr. Roshni Patel, DO, based on her professional judgment and the information you provide. The quality and accuracy of the medical care you receive depends in part on the accuracy and completeness of the information you provide. 

2.5 Prescriptions. Prescriptions may be provided at the discretion of Dr. Patel when medically appropriate and in compliance with applicable laws and regulations. We reserve the right to refuse to prescribe certain medications, including but not limited to controlled substances, if deemed inappropriate for telemedicine or not medically necessary.  

PRIVACY

3.1 Privacy Policy. Your privacy is important to us. Our Privacy Policy, which is incorporated by reference into these Terms, explains how we collect, use, and disclose information about you. 

3.2 HIPAA Compliance. As a healthcare provider, we are committed to maintaining the privacy and security of our patients’ protected health information in accordance with the Health Insurance Portability and Accountability Act (HIPAA). We implement physical, technical, and administrative safeguards to protect our patients’ information. 

PROHIBITED CONDUCT

You agree not to: 

  • Use the Website for any illegal purpose or in violation of any local, state, national, or international law

  • Harass, threaten, or intimidate any person, including our staff or other users

  • Impersonate any person or entity, including but not limited to our staff, or falsely state or otherwise misrepresent your affiliation with a person or entity

  • Interfere with or disrupt the Website or servers or networks connected to the Website

  • Attempt to gain unauthorized access to any portion of the Website or any other systems or networks connected to the Website

  • Use the Website to transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Luminate Gynecology, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. 

5.2 Limited License. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for your personal, non-commercial use. This license does not include: 

  • The right to reproduce, distribute, display, sell, lease, transmit, create derivative works from, translate, modify, reverse-engineer, disassemble, decompile, or otherwise exploit the Website or any portion of it

  • The right to copy or store any content except as necessary for your personal use of the Website

  • The right to use any data mining, robots, or similar data gathering and extraction methods

  • Any rights not expressly granted to you are reserved by Luminate Gynecology

5.3 Trademarks. The Luminate Gynecology name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Luminate Gynecology or its affiliates or licensors. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Website are the trademarks of their respective owners. 

5.4 Feedback. If you provide us with any feedback, suggestions, or ideas regarding the Website, you grant us an unlimited, irrevocable, perpetual, sublicensable, transferable, royalty-free license to use such feedback in any way and for any purpose without compensation to you. 

DISCLAIMERS

6.1 Medical Disclaimer. The information provided on our Website is for general informational purposes only and is not intended as a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read on our Website. If you think you may have a medical emergency, call your doctor or 911 immediately.

LIMITATION OF LIABILITY

7.1 Exclusion of Certain Liabilities. In no event shall Luminate Gynecology, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: 

  • Your access to or use of or inability to access or use the Website

  • Any conduct or content of any third party on the Website

  • Any content obtained from the Website

  • Unauthorized access, use, or alteration of your transmissions or content

  • Any other matter relating to the Website

Whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

7.2 Cap on Liability. Without limiting the foregoing, our total liability to you for all claims arising from or relating to the Website shall be limited to the amount you have paid to us for Services in the twelve (12) months preceding the event giving rise to the liability, or one hundred dollars ($100), whichever is greater.

7.3 Essential Purpose. The limitations of damages set forth above are fundamental elements of the basis of the bargain between Luminate Gynecology and you. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. 

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Luminate Gynecology, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: 

  • Your violation of these Terms

  • Your use of the Website, including, but not limited to, any use of the Website's content other than as expressly authorized in these Terms

  • Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right

  • Any claim that your content caused damage to a third party

This defense and indemnification obligation will survive these Terms and your use of this Website.

GOVERNING LAW AND JURISDICTION

9.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. 

9.2 Jurisdiction. You agree to submit to the personal jurisdiction of the courts located within New Jersey for the resolution of any disputes arising out of or relating to these Terms or the Website.

9.3 Waiver of Jury Trial. To the extent permitted by applicable law, you hereby waive any right to a jury trial in any proceeding arising out of or related to these Terms or the Website.

9.4 Limitation on Time to File Claims. Any cause of action or claim you may have arising out of or relating to these Terms or the Website must be commenced within one (1) year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred. 

CHANGES TO TERMS

10.1 Modifications. We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by posting a notice on our Website prior to the changes becoming effective. 

10.2 Continued Use. Your continued use of the Website after such modifications will constitute your acknowledgment of the modified Terms and agreement to abide and be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to cease using the Website. 

10.3 Prior Versions. We will make prior versions of our Terms available upon request. You may request prior versions by contacting us at the information provided in Section 14.

TERMINATION

11.1 Termination by Us. We may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. 

11.2 Termination by You. You may terminate these Terms at any time by discontinuing use of the Website. 

11.3 Effect of Termination. Upon termination, your right to use the Website will immediately cease. The following provisions shall survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, and any other provision that by its terms or nature is intended to survive termination.

SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision.

ENTIRE AGREEMENT

13.1 Complete Understanding. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Luminate Gynecology regarding use of this Website and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.

13.2 No Waiver. No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

13.3 Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.
